Event Vendor Contracts: 10 Clauses You Must Include
Every year, thousands of event disputes could have been prevented by a proper contract. Whether you're a planner hiring a vendor or a vendor protecting your business, these 10 clauses are non-negotiable.
1. Scope of Services
Exactly what the vendor will provide: hours, setup/teardown, equipment, staff count. "DJ services" is too vague. "4 hours of DJ performance with PA system, wireless mic, uplighting (8 units), setup 2 hours before event, teardown 1 hour after" is a contract.
2. Date, Time & Location
Event date, start/end time, venue name AND full address. Include load-in time and any access restrictions.
3. Payment Terms
Total price, deposit amount, deposit due date, balance due date, accepted payment methods, late payment penalties.
4. Cancellation Policy
What happens if either party cancels? Standard terms: deposit non-refundable, 50% refund if cancelled 30+ days out, no refund within 14 days.
5. Force Majeure
Coverage for events beyond anyone's control: natural disasters, pandemics, government orders. Both parties should be released without penalty.
6. Liability & Insurance
Vendor carries general liability insurance (minimum $1M). Vendor is responsible for their own equipment and staff.
7. Backup Plan
What happens if the vendor is unable to perform? Do they provide a replacement? Is it the same quality? At what cost?
8. Overtime Policy
Rate for additional hours beyond contracted time. Typically 1.5x hourly rate. Must be authorized by the planner in writing.
9. Image/Media Rights
Can the vendor use photos/video from your event for their portfolio? Can you use vendor-captured media? Clarify both.
10. Dispute Resolution
How disagreements are handled: mediation first, then arbitration, with venue/jurisdiction specified.
